1. Agreement and eligibility
These Terms form a contract between you and PsyProxy Limited, a Colorado limited liability company, Boulder, Colorado, USA. By creating an account, accepting an invitation, or using a protected PsyProxy service, you agree to these Terms and the policies they incorporate.
You must be at least 18 years old. If you use PsyProxy for an organization, you represent that you have authority to bind the organization. The service is offered internationally, but you are responsible for laws that apply where you use it.
2. The service
PsyProxy provides automated psychological-construct extraction, scoring, analysis, and related research tools. It is a research and analytical service, not medical care, a crisis service, or a substitute for professional judgment.
During beta, features, limits, models, and interfaces may change. We will use reasonable care to operate the service, but we do not promise uninterrupted or error-free availability.
3. Accounts and security
- Provide accurate account information and keep credentials and API keys secure.
- Use only your own account and do not bypass access, quota, billing, or security controls.
- Tell us promptly at kai@psyproxy.ai if you suspect unauthorized access.
- If you find a suspected vulnerability, report it to kai@psyproxy.ai and give us a reasonable opportunity to investigate before publishing. The reporting expectations on the Security page apply as part of these Terms.
- We may suspend access needed to protect users, the service, or legal compliance.
4. Your Input and our limited license
You retain your rights in text, dependent variables, files, prompts, and other material you submit ("Input"). You grant PsyProxy a limited, non-exclusive license to host, copy, transmit, and process Input only to provide, secure, support, and optimize the quality of the service, and to comply with law.
We will not add customer text or dependent variables to a general training corpus, use them to build unrelated models, or share them with other customers. Human access is limited to support, quality investigation, security, and legal needs under access controls and confidentiality duties.
You represent that you have all rights, permissions, notices, consents, and approvals needed to submit the Input and direct this processing.
5. Results and permitted use by account type
Subject to these Terms, you may use the outputs returned to your account ("Results"). Individual and Academic accounts may use Results in scholarly publications and the associated noncommercial research, but may not use them to develop products or services.
Organizational accounts may use Results to develop products and services. They may not use PsyProxy, its nonpublic data, processes, content, or materials to build or test a competing product. "Competing product" means a substantially similar service for automated psychological-construct extraction or scoring from language. This restriction does not cover your own Input. Your data remains yours, and this clause never limits what you do with it.
You may use fitted equations, coefficients, model cards, and similar project-level Results for your permitted account use. You may not use Results, proxy scores, loadings, projections, coefficients, definitions, or derived datasets to train, fine-tune, distill, validate, benchmark, reconstruct, approximate, or extract a competing or substantially similar model, lens, projection space, scoring system, or service.
Do not scrape, automate, pool, or bulk-export Results beyond documented product and API limits, and do not redistribute PsyProxy Results or proxy spaces as a standalone dataset, scoring service, or substitute for access to PsyProxy except where the Model Store Terms or a signed agreement expressly allow it.
Custom lenses, full-dimension proxy access, and additional rights may be provided under a separate written agreement.
6. Prohibited data and uses
You must follow the Acceptable Use Policy and Regulated Data Notice. Self-service accounts may not submit identifiable health information subject to HIPAA, FERPA education records, children's data, identifying biometric data, or data you are contractually prohibited from providing to a vendor unless PsyProxy has signed a separate agreement that expressly permits it.
7. Credits and beta billing
Processing credits measure prepaid use; they are not money, deposits, or stored value and cannot be transferred or redeemed for cash. Purchased credits do not expire during beta. Promotional credits may expire only when an expiration is disclosed when issued.
Failed-run credits are restored automatically under the Billing and Credit Terms. There is no automatic renewal during beta.
8. Model store
If you publish a model, you agree to the Model Store Terms. Public models may be downloaded, redistributed, modified, and used off-platform with full citation. PsyProxy meters on-platform execution and pays eligible publishers through processing credits. Off-platform execution is unmetered and does not generate a PsyProxy processing-credit payment.
9. Intellectual property and feedback
PsyProxy and its licensors retain rights in the service, lenses, software, documentation, interfaces, and other PsyProxy materials. Except for the rights expressly granted here, no rights are transferred. If you voluntarily provide feedback, we may use it without restriction, but feedback does not expand our rights in your Input.
PsyProxy proxy names, definitions, dimension descriptions, bands, documentation, and lens structures are licensed only for use with your permitted Results, required citation, and lawful research or organizational use; they are not licensed for extraction, resale, or competing-model training.
10. Disclaimers
To the extent permitted by law, the beta service is provided "as is" and "as available." PsyProxy disclaims implied warranties, including merchantability, fitness for a particular purpose, noninfringement, and warranties arising from course of dealing.
Automated measurements can be incomplete, biased, or wrong. You are responsible for validating Results and for human review before relying on them.
11. Liability limits
To the extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenues, data, or goodwill.
For free or low-cost self-service use, PsyProxy's aggregate liability is the lesser of US $100 or the fees you paid in the 12 months before the event giving rise to the claim. For an Organizational account, the cap is the fees paid or payable for the affected order in that period. These limits do not apply where liability cannot be limited by law, or to fraud or willful misconduct.
12. Ending use and policy changes
You may stop using PsyProxy at any time. We may suspend, restrict, or terminate your account, access to the website, or any related services immediately and without prior notice, at our sole discretion, for any reason or no reason, including but not limited to: (a) any material breach of these Terms; (b) unlawful or fraudulent use; (c) security or technical risks; (d) nonpayment; or (e) behavior that we deem harmful, abusive, disruptive, or contrary to the interests of our business, our users, or third parties. Where we end an account without cause, we refund the unused purchased-credit balance; free and promotional credits are forfeited and are not refunded. Sections that by their nature should survive will survive.
We may revise these Terms. Material changes require renewed acceptance before further protected service use. The acceptance record identifies the version you accepted.
13. Colorado law and courts
Colorado law governs these Terms without regard to conflict-of-law rules. Exclusive jurisdiction and venue lie in the state or federal courts serving Boulder County, Colorado, except that either party may seek injunctive relief in a court with jurisdiction and mandatory consumer law may provide a nonwaivable forum. We do not require consumer arbitration during beta.
